These terms are the agreement between you and FlipTool LLC for using the FlipTool app. Please read them carefully — by using FlipTool, you agree to them in full.
Please read these sections closely. These Terms include important provisions that affect your legal rights: FlipTool's outputs are estimates and information, not financial advice or a recommendation to act (Sections 4–6); our liability to you is limited (Section 16); and disputes are resolved through binding individual arbitration, with a waiver of class actions and jury trials (Sections 18–19). By using FlipTool, you agree to these provisions.

1. Acceptance of these terms
These Terms of Service ("Terms") are a binding legal agreement between you and FlipTool LLC ("FlipTool," "we," "us," or "our"). By creating an account, downloading, accessing, or using the FlipTool app in any way — and, where presented, by checking the box or tapping to accept these Terms and our Privacy Policy — you acknowledge that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree to these Terms, do not create an account and do not use FlipTool.
2. Who can use FlipTool
FlipTool is not for children under 13, and you must be at least 13 years old to use it.
If you are between 13 and 18: you may use FlipTool, and make any purchases within it, only with the involvement and consent of a parent or legal guardian. By using the app or making a purchase, you represent that you have that consent, or that you are 18 or older.
3. What FlipTool does
FlipTool helps resellers evaluate items. You can photograph an item to get an AI-generated identification, an estimated value range based on market comparables, a suggested buy/pass decision, and a suggested list price. You can also track inventory, log sales and expenses, set goals, view analytics, and ask questions of our in-app assistant, Budi.
4. Not financial or professional advice
FlipTool is an informational tool, not an advisor. FlipTool evaluates items and shows you estimated values, suggested prices, buy/pass indicators, risk and confidence scores, and similar information to help you make your own decisions. It does not, and is not intended to, provide financial, investment, business, tax, legal, or other professional advice, and nothing in the app is a recommendation, solicitation, or endorsement to buy, sell, or hold any item.
Every decision you make using FlipTool — including what to buy, what to pay, what to list an item for, and whether to sell — is your own independent decision, made at your own risk. You should independently verify any information before relying on it, and consider seeking advice from a qualified professional. FlipTool is not responsible for, and has no liability for, any purchase, sale, or business decision you make.
5. AI-generated content disclaimer
FlipTool's identifications, price estimates, buy/pass recommendations, risk scores, time-to-sell estimates, and assistant responses are generated by artificial intelligence and automated data sources, and are provided for informational purposes only.
- They are estimates, not guarantees. Actual resale value, fees, shipping costs, and time to sell can differ — sometimes significantly.
- AI can make mistakes, including misidentifying items or producing inaccurate numbers.
- Market data comes from third-party sources that may be incomplete or out of date.
- Nothing in FlipTool is financial, investment, tax, or professional advice.
You are responsible for your own buying and selling decisions. Always use your own judgment and verify important numbers before you act on them. FlipTool is a tool to inform your decisions, not to make them for you.
6. Assumption of risk & your responsibility
Reselling is an inherently risky and speculative activity. Market prices change constantly, demand is unpredictable, fees and shipping costs vary, items may be misidentified, and comparable-sales data may be incomplete or out of date. You understand and accept these risks.
By using FlipTool, you knowingly and voluntarily assume all risks associated with your reselling activities and with any reliance on FlipTool's outputs. You accept full responsibility for your own decisions and their outcomes, including any financial loss, unsold inventory, lost profit, or other harm. You agree that FlipTool LLC is not liable for any such outcome, whether or not FlipTool's information turned out to be inaccurate.
7. Your account
You're responsible for keeping your login secure and for activity under your account. Provide accurate information when you sign up, and let us know if you believe your account has been compromised. You can delete your account at any time — see our Account Deletion page.
8. Subscriptions and billing
FlipTool offers paid subscription plans and one-time credit-pack purchases. All purchases are processed by Apple (App Store) or Google (Google Play) through their in-app purchase systems, and are subject to their terms as well as ours.
- Subscriptions renew automatically at the end of each billing period unless you cancel at least 24 hours before the period ends.
- You manage and cancel subscriptions through your App Store or Google Play account settings, not through FlipTool. Deleting the app or your FlipTool account does not cancel a subscription.
- Prices are shown in the app before you buy. We may change prices for future billing periods; if we do, it won't affect a period you've already paid for.
9. Credits
FlipTool uses a credit system to power item scans and analyses. There are two kinds of credits, and they behave differently:
Plan credits are the monthly allowance included with your plan. They reset at the start of each billing cycle and do not roll over — unused plan credits are lost when the cycle resets. Purchased credits — including your one-time welcome credits and any credit packs you buy — never expire and accumulate in your balance until you use them.
Each scan or analysis costs credits according to the type of analysis, and the cost is shown in the app. Credits have no cash value, are not transferable, and cannot be redeemed for money. When you spend credits, plan credits are used before purchased credits where applicable. We may change credit costs or allowances for future billing cycles.
10. Refunds
Because all purchases are handled by Apple and Google, refunds are governed by their policies, and you should request any refund through the App Store or Google Play. We generally cannot issue refunds directly. Except where required by law, payments are non-refundable, and canceling a subscription stops future charges but does not refund the current period.
11. Acceptable use
When using FlipTool, you agree not to:
- Break the law or use FlipTool to buy, sell, or evaluate illegal, counterfeit, or prohibited items.
- Abuse, overload, reverse-engineer, or attempt to gain unauthorized access to the app or our systems.
- Try to bypass credit limits, free-credit protections, or usage restrictions.
- Use automated means to scrape or extract data from the service.
- Interfere with other users or with the security and integrity of the service.
12. Your content
The content you create — inventory, notes, photos, records — is yours. You grant us a limited license to store and process it solely to provide the service to you (for example, to run pricing analysis or sync your data). We don't claim ownership of your content and we don't sell it. You're responsible for the content you add and for having the right to use any photos you upload.
13. Your data, records & app outputs
FlipTool stores and displays your inventory, sales records, expenses, goals, analytics, portfolio figures, saved scans, and responses from our assistant (Budi), and syncs some of this data to our servers so it's available across your devices.
You understand and agree that this data and these outputs may, for any reason, become lost, corrupted, deleted, delayed, temporarily or permanently unavailable, or inaccurate — including through software errors, sync failures, service outages, device issues, or AI limitations. To the fullest extent permitted by applicable law, FlipTool LLC is not liable for any loss, corruption, inaccuracy, or unavailability of your inventory, sales records, analytics, goals, expenses, Budi responses, or any other data or output, or for any decision, loss, or harm resulting from it.
You are solely responsible for maintaining your own independent records of your business. Do not rely on FlipTool as your only record of your inventory, sales, or financial information. We do not guarantee that any data will be retained, accurate, or recoverable.
14. Termination
You can stop using FlipTool and delete your account at any time. We may suspend or terminate your access if you violate these terms, abuse the service, or where necessary to protect FlipTool or other users. If we terminate your account for a serious violation, you may lose access to unused credits without refund.
15. Disclaimer of warranties
FlipTool is provided "as is" and "as available," without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be uninterrupted, error-free, or that its estimates, identifications, or recommendations will be accurate or reliable. You use FlipTool at your own risk.
16. Limitation of liability
To the fullest extent permitted by applicable law, FlipTool LLC and its owners, members, employees, and agents will not be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, inventory value, or business opportunity, arising out of or in any way related to your use of (or inability to use) FlipTool or your reliance on any of its outputs — including any buying, selling, pricing, or business decision you make — whether based in contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages.
To the fullest extent permitted by applicable law, the total aggregate liability of FlipTool LLC arising out of or related to these Terms or your use of FlipTool, for all claims combined, will not exceed the greater of (a) the total amount you paid to FlipTool LLC in the twelve (12) months immediately before the event giving rise to the claim, or (b) fifty U.S. dollars ($50). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless FlipTool LLC and its owners, members, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of FlipTool; (b) any buying, selling, or business decision you make; (c) your violation of these Terms; (d) your violation of any law or of the rights of any third party, including any marketplace, platform, or other seller or buyer; or (e) any content you submit. FlipTool LLC reserves the right to assume the exclusive defense of any matter subject to indemnification by you, at your expense, and you agree to cooperate with that defense.
18. Dispute resolution & binding arbitration
Please read this section carefully — it affects your legal rights and requires most disputes to be resolved by binding arbitration rather than in court.
Except for the limited exceptions below, you and FlipTool LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or to FlipTool — whether based in contract, tort, statute, or any other theory — will be resolved exclusively through final and binding individual arbitration, and not in a court of law. You and FlipTool LLC waive the right to a trial by jury.
The arbitration will be administered by a recognized, neutral arbitration provider under its applicable consumer arbitration rules, conducted by a single arbitrator, and may take place in Alabama or, where permitted, remotely. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, or enforceability of these Terms, including this arbitration provision. Judgment on the award may be entered in any court with jurisdiction.
Exceptions. Either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or equitable relief in court to protect intellectual property or prevent unauthorized access to or misuse of the service. Nothing in this section prevents you from reporting concerns to a government agency.
Your right to opt out. You may opt out of this arbitration provision by emailing admin@fliptool.app within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out will not affect any other part of these Terms.
19. Class action waiver
You and FlipTool LLC agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding. If this class action waiver is found to be unenforceable as to a particular claim, then that claim (and only that claim) will be severed and may proceed in court, while all other claims remain in arbitration.
20. Governing law
These terms are governed by the laws of the State of Alabama, United States, without regard to its conflict-of-laws rules. Any dispute relating to these terms or to FlipTool will be resolved in the state or federal courts located in Alabama, and you consent to their jurisdiction — except where applicable law gives you the right to bring a claim elsewhere.
21. Changes to these terms
We may update these terms as FlipTool evolves. When we make material changes, we'll update the "Last updated" date and, where appropriate, notify you in the app. Continuing to use FlipTool after a change means you accept the updated terms.
